Mergers & Acquisitions in the Care Sector

Transactions in the care sector have their own idiosyncrasies which make them slightly different to mergers & acquisitions in other sectors making it essential that the parties involved in such transactions appoint solicitors with the relevant experience. As well as some specific legal issues which commonly arise when dealing in this sector there are also relationships (both contractual and, often, personal) with local authorities to manage. These relationships are usually material to the business and of paramount importance to the overall transaction. Whilst the solicitors job is often seen as limited to ensuring that the legal documentation reflects the understanding reached between the parties, it is a good solicitor who advises on the implications of such agreement with third parties and the commercial realities of completing the transaction.

DTM Legal have a team of corporate lawyers all of whom have specific experience in the care sector, including the buying and selling of care homes (we have recently acted for the seller of a care home for in excess of £3 million having also acted on the acquisition some 4 years ago for just over £1 million) and the buying and selling of domiciliary care providers (we have recently completed on the sale of a privately owned provider selling to a national organisation for in excess of £5 million). All of our team are aware of the care-specific issues that arise in such transactions and are adept at dealing with them in a commercially sensitive manner.

If you would like to speak to one of our care team, please call 01244 354800 and ask to speak with Tom Sutcliffe or Julie Mogan.
